Vicus acquisition approved and Bonus Share issue update

VICUS RESIDENTAL ACQUISITION RECEIVES SHAREHOLDER APPROVAL & BONUS SHARE UPDATE The Agency Group Australia (ASX: AU1) (“The Agency” or “the Company”) is pleased to announce shareholders of the Company have voted overwhelmingly in favour of the acquisition of Vicus Residential (“Vicus Residential”) at a general meeting held today in Perth.

At the general meeting, shareholders voted for the proposed acquisition of Vicus Residential – the residential sales and management division of The Vicus Property Group.

The majority of Vicus Residential’s issued shares have been acquired for script (41.25 million ordinary shares in The Agency and $75,000 cash payment) (please refer to ASX announcement dated 11 April 2018 for more information).

The acquisition will see The Agency’s WA operations grow by four staff and add more than 200 rental properties predominantly in the inner city of Perth, increasing total property managements on The Agency’s books to approximately 700 in the state.

The acquisition of Vicus Residential (Resolution 13 and 14 as set out in a Notice of Meeting released on 17 October 2018) were the only resolutions voted on at today’s general meeting.

All other resolutions (resolutions 1 to 12) as detailed in the NoM, which includes the proposed acquisition of Top Level Pty Ltd, have now been adjourned until 9am on 28 November 2018 at 68 Milligan Street Perth (refer to ASX announcement dated 14 November 2018).

The Agency is pleased to advise that the shareholder vote is overwhelmingly in favour of all remaining resolutions 1 to 12 as detailed in the NoM.

The Company reconfirms that it is progressing towards completion of its acquisition of Top Level.

In regards to the planned 6 for 10 bonus issue of shares to all shareholders (refer to ASX announcement 19 September for more information), the record date has now been extended until 14th December 2018 with the issue date to now take place on 17th December 2018.
